Terms of Service

1. Acceptance of Terms
By accessing or using the Native Vault website at nativevault.dev (the “Site”) or the Native Vault web dashboard (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site or Service.
These Terms apply to all users of the Site and Service. Our Privacy Policy is incorporated into these Terms by reference.
These Terms are provided for informational purposes and do not constitute legal advice. We recommend having them reviewed by qualified legal counsel before publishing.
2. Description of Service
Native Vault provides encrypted cloud storage and file management. Files you upload are encrypted at rest before being stored on third-party infrastructure. Native Vault staff cannot access the plaintext of your stored content.
The Service is provided on a subscription basis with account tiers that determine storage limits, retention periods, and available features. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
3. Eligibility
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Accounts
Access to the Service requires signing in via a supported OAuth provider (currently GitHub or Google). You are responsible for maintaining the security of your OAuth credentials and for all activity that occurs under your account.
You may not create multiple accounts to circumvent account limits or restrictions. We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.
You must notify us immediately at support@nativevault.dev if you suspect unauthorized access to your account.
5. Acceptable Use
You agree not to use the Service to upload, store, transmit, or distribute:
- Content that is illegal under applicable law.
- Malware, viruses, ransomware, spyware, or any other malicious code or software designed to damage, disrupt, or gain unauthorized access to systems or data.
- Content that infringes the intellectual property rights of any third party.
- Content that violates the privacy or publicity rights of any individual.
You also agree not to:
- Use the Service in any way that could damage, overburden, or impair its infrastructure.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
- Reverse engineer, decompile, or disassemble any component of the Service.
- Resell or sublicense access to the Service without our written consent.
Because your content is encrypted at rest and Native Vault staff cannot access its plaintext, we cannot proactively monitor uploaded content for compliance with these Terms. You remain solely responsible for ensuring that everything you upload complies with this Section and all applicable laws.
6. Your Content
You retain full ownership of all files and data you upload to the Service (“Your Content”). By uploading content, you grant Native Vault a limited, non-exclusive license to store, encrypt, and serve Your Content solely for the purpose of providing the Service to you.
We do not use Your Content for any purpose other than operating the Service. We do not sell, license, or share Your Content with third parties except as necessary to provide the Service (e.g., storing encrypted blobs on Backblaze B2).
You are solely responsible for maintaining backups of Your Content. Native Vault is not liable for any loss or corruption of data.
7. Subscriptions and Billing
Certain features of the Service require a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
No refunds. All subscription fees are non-refundable. If you cancel your subscription, you will retain access to the Service until the end of your current billing period, after which your account will revert to the free tier (if applicable) or be deactivated.
We reserve the right to change subscription pricing with at least 30 days’ notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
If a payment fails, we will notify you and attempt to retry the charge. Accounts with sustained payment failures may be suspended or downgraded.
8. Data Retention and Deletion
Uploaded files, build logs, and generated artifacts are retained according to your account tier.
You may delete your account at any time. Upon deletion, your account data will be removed within 30 days, subject to retention requirements described in our Privacy Policy.
9. Intellectual Property
The Service, including its software, design, trademarks, and content (excluding Your Content), is owned by Native Vault and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or other proprietary materials without our prior written consent.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law.
You may terminate your account at any time by deleting it through the Service settings or by contacting us at support@nativevault.dev. Termination does not entitle you to a refund of any prepaid fees.
Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 9, 11, 12, 13, and 14 of these Terms survive termination.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
While we encrypt your content at rest, no security measure is perfect. You should maintain your own backups of any critical data.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Native Vault shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of business, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount you paid us in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Native Vault and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Minnesota, and you consent to personal jurisdiction in those courts.
If you are located in the EU, nothing in these Terms limits your rights under applicable mandatory consumer protection laws in your country of residence.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. For material changes, we will provide notice via the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
